Terms of Service

These Terms govern your access to Sandpi websites, hosted applications, persistent Environments, coding-agent Sessions, and related services.

Agreement

These Terms of Service (“Terms”) are an agreement between you and LOUGAO, LLC, doing business as Sandpi. By accessing or using our hosted websites, applications, and related services (the “Service”), you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and any order form or written agreement that applies to you.

If you use the Service for an organization, you represent that you have authority to bind it. “You” then means both you and that organization. If you do not agree to these Terms, do not use the Service.

Eligibility

You must be at least 18 years old and legally capable of entering a binding contract. You may not use the Service if applicable law prohibits you from doing so or if we previously suspended or terminated your access for a violation of these Terms.

Accounts and security

You must provide accurate account information and keep it current. You are responsible for activity under your account and for safeguarding your devices, login sessions, repositories, provider accounts, API keys, credentials, Environment Browser profiles, network rules, and connected services.

Do not share access in a way that bypasses plan limits or exposes another person’s information without authorization. Notify us promptly at contact@sandpi.ai if you suspect unauthorized access or a security incident involving the Service.

The Service

Sandpi provides remote coding-agent Sessions, persistent Environments and Workspaces, terminals, a shared Environment Browser, network and credential controls, backups, Automations, and related developer tools. Some features may be preview, beta, experimental, or pre-release.

We may add, change, limit, suspend, or discontinue features as the Service evolves. Unless a separate written agreement says otherwise, we do not promise a service level, uninterrupted availability, or continued support for a particular feature, integration, model, region, or client.

Open-source software

Sandpi source code may be available under an open-source license. That license governs your copying, modification, and distribution of the covered code. These Terms govern the hosted Service and do not limit rights granted by an applicable open-source license. Self-hosted deployments are operated by their deployer, not by us, unless we agree otherwise in writing.

Customer Content

You retain ownership of Customer Content. You grant us a worldwide, non-exclusive license to host, copy, transmit, store, execute, modify for technical formatting, display, and otherwise process Customer Content only as needed to provide, secure, support, and improve the Service and to comply with law.

You represent that you have all rights and permissions needed to submit Customer Content and direct its processing. You are responsible for Customer Content, including code, files, prompts, agent outputs, terminal commands, browser activity, schedules, credentials, and network traffic generated by you or your agents.

Agents, outputs, and backups

Coding agents and other automated tools can make mistakes and take consequential actions. You are responsible for choosing appropriate permissions, approvals, network access, credentials, supervision, testing, and human review. Review code and outputs before relying on or deploying them.

Do not rely on Sandpi as the only copy of important data. You are responsible for source control, exports, and backups appropriate to your use case, even when the Service offers Workspace persistence, snapshots, or scheduled backups.

Third-party services

The Service may connect to coding-agent providers, source hosts, identity providers, MCP servers, package registries, websites, payment processors, and other third-party services. Their terms, privacy policies, availability, and charges apply independently. We are not responsible for third-party services or for changes they make to their products or terms.

You are responsible for ensuring that your use of an integration, including automated access by an agent, is authorized and complies with the third party’s terms and applicable law.

Acceptable use

You must comply with our Acceptable Use Policy. We may investigate suspected abuse and take action to protect the Service, users, third parties, and the public.

Fees and subscriptions

Some features are free, limited, or offered for evaluation. Paid plans, included usage, renewal intervals, and prices are described at purchase or in an order form. You authorize us and our payment processor to charge applicable fees and taxes using your selected payment method.

Subscriptions renew automatically for the interval shown at purchase until canceled. You may cancel through the available billing portal or by contacting us. Unless required by law or agreed in writing, fees and credits are non-refundable, and cancellation takes effect at the end of the current paid period. We may change future pricing or plan limits with reasonable notice.

You are responsible for usage generated by your account, Environments, credentials, and agents. We may limit or pause resources when a plan, quota, payment, or safety limit is reached.

Our intellectual property

Except for Customer Content and open-source components, we and our licensors own the Service, including its design, branding, documentation, and proprietary software. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service while they remain in effect.

If you provide feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or obligation to you.

Suspension and termination

You may stop using the Service at any time. We may suspend, limit, or terminate access if you breach these Terms, create security or operational risk, violate law, fail to pay agreed fees, exceed limits, or use the Service in a way that may harm us or others. Where practical, we will provide notice and an opportunity to cure.

Termination, account closure, expiration, resource cleanup, or deletion may make Customer Content, Environments, Workspaces, backups, Browser profiles, credentials, Sessions, and schedules unavailable. Provisions that by their nature should survive will survive, including ownership, payment obligations, disclaimers, limitations of liability, and general legal terms.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE, SANDBOX EXECUTION, CUSTOMER CONTENT, AGENT OUTPUTS, GENERATED CODE, BACKUPS, OR THIRD-PARTY INTEGRATIONS WILL BE ACCURATE, SECURE, COMPLETE, AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR YOUR USE CASE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOUGAO, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR 100 U.S. DOLLARS IF YOU PAID NOTHING. THESE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT BE LIMITED BY LAW.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, unless applicable law requires otherwise.

Changes to these Terms

We may update these Terms as the Service and law evolve. We will post the updated Terms and change the effective date. For material changes, we will take reasonable steps to provide additional notice. Continued use after the updated Terms take effect means you accept them. If you do not agree, you must stop using the Service.

General

These Terms and any incorporated written agreement are the entire agreement about the Service and supersede earlier discussions on the same subject. If a provision is unenforceable, it will be modified to the minimum extent necessary and the rest will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, or transfer of the Service.
